The governance of Redgate Group is based on generally accepted principles of good corporate governance and the highest ethical standards. The operations of Redgate are conducted in compliance with effective laws and legal acts of Estonia and also in compliance with the recommendation of Estonian Financial Supervisory Authority.

Redgate Asset Management (registry code 11543347) is a subsidiary and asset management arm of Redgate Capital. Redgate Asset Management is regulated by the Estonian Financial Supervision Authority. Licence number is 4.1-1/128.

Risk Committee

The Council and the Management Board of Redgate Capital, the parent company of Redgate Group, set general risk management principles, corporate risk limits and other general guidelines used to organize the risk management of Redgate Group. To better understand, monitor and prevent risks, Redgate Capital has established a Risk Management Committee (Risk Committee), an expert body which monitors the market, credit and counterparty risks and the company’s own capital structure and prepares risk reviews for Redgate Capital Management Board and the Council.

The Risk Committee's main duties are to assist Redgate Capital Management Board and Council in assessing the different types of risk to which Redgate Group is exposed, as well as the risk management structure, organization and processes.

The Risk Committee approves selected risk limits and makes recommendations regarding all of its risk-related responsibilities. The Risk Committee prepares reviews on fulfilment of major risk management and capital adequacy requirements.

The head of each unit is responsible for arranging appropriate, unit-specific risk management on a daily basis, and for reporting to the Risk Committee.

Redgate’s Risk Committee consists of five members.


AUDIT

Audit plays an important role in corporate governance of Redgate Group. The external auditors are independent from the management of the companies but coordinate closely activities of the management and the company.

Redgate Group also has an independent internal audit function which continuously audits operations of companies of Redgate Group and their compliance with effective legal acts and internal regulations of Redgate Group.

The Risk Committee and the Supervisory Board of Redgate Capital supervise the functioning of audit work.
